Certificate of Registration to Transact Business; Issuance;

Company Name; Requirements.

(a)If the Department of Revenue and Taxation finds that an application for registration conforms to law and all requisite fees have been paid, the Department of Revenue and Taxation shall issue a certificate of registration to transact business in Guam, subject, however, to any licensing requirements imposed by the laws of Guam.

(b)A foreign limited liability company may register with the Department of Revenue and Taxation under any name, whether or not it is the name under which it is registered in its state of organization, that includes the words Alimited liability company@ or Alimited company@ or their abbreviations AL.L.C.@, AL.C.@, ALLC@ or ALC@, in uppercase or lowercase letters, or if required or permitted by the jurisdiction in which it was formed the words Aprofessional limited liability company@ or the abbreviations AP.L.L.C.@, @P.L.C.@, APLLC@ or APLC@, in uppercase or COL070307 CH. 7 FOREIGN CORPORATIONS lowercase letters, and that could be registered by a domestic limited liability company.
