Form and Execution of Bonds

The Bonds and the form of Registrar’s certificate of authentication and registration to appear thereon shall be in substantially the forms set forth in Exhibit A hereto, respectively. with necessary or appropriate variations, omissions and insertions, as permitted or required by this Indenture. Any portion of the text of any Bond may be set forth on the reverse thereof, with an appropriate reference thereto on the face of such Bond. Bonds may be typewritten, printed, engraved, lithographed or otherwise produced. The Bonds shall be executed in the name and on behalf of the Government with the manual or facsimile signatures of the Governor of Guam and the Director of Administration under its seal. Such seal may be in the form of a facsimile of the Government’s seal and may be reproduced, imprinted or impressed on the Bonds. The Bonds shall then be delivered to the Registrar for authentication by it. In case any of the officers who shall have signed any of the Bonds shall cease to be such officer or officers of the Government before the Bonds so signed shall have been authenticated or delivered by the Registrar or issued by the Government, such Bonds may nevertheless be authenticated, delivered and issued and, upon such authentication, delivery and issue, shall be as binding upon the Government as though those who signed the same had continued to be such officers of the Government, and also any Bond may be signed on behalf of the Government by such persons as at the actual date of execution of such Bond shall be the proper officers of the Government although at the nominal date of such Bond any such person shall not have been such officer of the Government. Only such of the Bonds as shall bear thereon a certificate of authentication and registration in the form set forth in Exhibit A hereto, manually executed by the Registrar, shall be valid or obligatory for any purpose or entitled to the benefits of this Indenture, and such certificate of the Registrar shall be conclusive evidence that the Bonds so authenticated have been duly executed, COL4/6/2022 CH. 22 GENERAL FISCAL POLICIES AND CONTROLS authenticated and delivered hereunder and are entitled to the benefits of this Indenture.
